A Framework for Responsible Leadership and Institutional Excellence
The African CEO Council (African Council of Chief Executives) is committed to the highest standards of corporate governance, ethical leadership, institutional transparency, and organizational accountability. The Council firmly believes that effective governance is fundamental to building a credible, respected, and sustainable institution capable of advancing the interests of Africa's private sector while contributing meaningfully to the continent's economic transformation.
The governance architecture of the Council has been carefully designed to reflect international best practices while responding to Africa's unique business, economic, and institutional realities. It provides a robust framework for strategic leadership, sound decision-making, prudent financial oversight, and effective stakeholder engagement.
At the core of the Council's governance philosophy is the principle that leadership must be accountable, inclusive, transparent, and guided by integrity, professionalism, and a long-term commitment to sustainable development.
Board of Governors
The African CEO Council is governed by an independent and highly experienced Board of Governors, comprising distinguished Chief Executive Officers, Chairpersons, accomplished business leaders, eminent professionals, industry experts, and respected representatives from both the public and private sectors.
The Board serves as the Council's highest governing authority responsible for providing strategic direction, institutional oversight, policy guidance, and fiduciary stewardship.
Board members are selected based on their professional achievements, leadership experience, integrity, commitment to ethical business practices, and demonstrated contribution to Africa's economic development.
The principal responsibilities of the Board include:
Members of the Board serve fixed terms in accordance with the Council's Constitution and Governance Charter and perform their responsibilities with independence, objectivity, and the highest standards of fiduciary responsibility.
Every Board member is required to subscribe to the Council's Code of Ethics, Corporate Governance Principles, Conflict of Interest Policy, and Board Charter, ensuring that all decisions are made in the best interests of the institution and its members.
International Advisory Council
To complement the work of the Board of Governors, the African CEO Council shall establish an International Advisory Council comprising globally respected business leaders, former heads of government, accomplished entrepreneurs, development experts, diplomats, academics, investors, and distinguished professionals.
The Advisory Council will provide strategic counsel on emerging global trends, international best practices, economic policy, sustainable development, investment promotion, innovation, and private sector competitiveness.
Although advisory in nature, the Council will play an important role in strengthening the organization's global relevance, expanding strategic partnerships, and positioning the African CEO Council as one of the continent's leading business leadership institutions.
Executive Leadership
The day-to-day management and administration of the African CEO Council shall be entrusted to a professional Executive Secretariat under the leadership of the President and Chief Executive Officer (President/CEO).
The President/CEO serves as the principal executive responsible for implementing the strategic decisions of the Board of Governors, managing institutional operations, strengthening stakeholder relationships, mobilizing resources, expanding membership, and ensuring the effective delivery of programmes and services.

Organizational Structure
The African CEO Council operates through a streamlined and integrated governance structure that promotes efficiency, collaboration, accountability, and coordinated decision-making across all levels of the organization.
The Council adopts a unified Pan-African governance model that enables all national and regional chapters to operate under a common institutional identity, governance framework, strategic direction, and operational standards.
This integrated approach ensures consistency in policy implementation while allowing sufficient flexibility for national and regional chapters to respond to local priorities and business realities.

General Assembly
The General Assembly is the supreme decision-making body of the African CEO Council and represents the collective voice of its membership.
Comprising all eligible members in good standing, the General Assembly meets annually to review the Council's performance, approve strategic policies, elect members of the Board of Governors, consider amendments to the Constitution, approve annual reports and audited financial statements, and deliberate on matters of strategic importance affecting the organization and Africa's private sector.
The General Assembly serves as the highest forum for consultation, accountability, transparency, and democratic participation within the Council.
Executive Secretariat
The Executive Secretariat serves as the administrative and operational hub of the African CEO Council and is responsible for implementing the Council's strategic plans, programmes, policies, and decisions.

The Secretariat provides professional support to the Board of Governors, Advisory Council, committees, national chapters, and regional offices while ensuring efficient delivery of member services throughout Africa.
National and Regional Chapters
Recognizing the diversity of Africa's economic landscape, the African CEO Council will establish National Chapters in member countries and Regional Chapters across Africa's five geographic regions:
These chapters will serve as decentralized platforms for implementing the Council's programmes, strengthening member engagement, promoting regional advocacy, facilitating networking opportunities, supporting investment promotion, and building strategic partnerships with governments, development institutions, and the private sector.
National and Regional Chapters will operate under the governance framework, policies, and strategic direction established by the Board of Governors while addressing the unique priorities and opportunities within their respective jurisdictions.
Future Expansion and Continental Presence
As the African CEO Council continues to grow, it will progressively establish regional liaison offices and representative offices across Africa and in key international business centres.
These offices will enhance the Council's capacity to coordinate continental programmes, expand membership, strengthen public-private dialogue, mobilize investment, facilitate executive networking, support regional advocacy, and deepen engagement with governments, international organizations, diplomatic missions, and development partners.
The Council also envisions establishing strategic representation in major global financial and diplomatic centres to strengthen Africa's voice in international business, trade, investment, and economic policy discussions.
