By accessing the website, creating an account, submitting information, downloading materials, registering for a programme or using any Council service, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree with these Terms, you should not use the website or its services.

2. About the African CEO Council

The African CEO Council is a pan-African, non-partisan, membership-based business leadership organisation connecting chief executives and institutional leaders to markets, capital, knowledge and influence.

The Council undertakes activities that may include:

  • Executive leadership development;
  • CEO and board engagement;
  • Policy dialogue and business advocacy;
  • Intra-African trade and market-access initiatives;
  • Investment promotion and capital-related engagement;
  • Executive seminars and roundtables;
  • Research, surveys and publications;
  • Sustainability and responsible-business programmes;
  • Digital-transformation and responsible-AI initiatives;
  • Business and investment missions;
  • Membership services;
  • Professional and institutional introductions; and
  • Strategic partnerships.

Information published on the website is intended to explain and support these activities.

3. Eligibility to Use the Website

You may use the website if:

  • You are at least 18 years old;
  • You have the legal capacity to accept these Terms;
  • Your use of the website complies with applicable law;
  • You provide accurate information when required; and
  • You do not use the website for fraudulent, misleading or unlawful purposes.

Where you use the website on behalf of a company, government agency, institution or other organisation, you confirm that you have authority to act for and bind that organisation in relation to the relevant service or transaction.

4. Changes to These Terms

We may amend these Terms to reflect changes in:

  • Applicable law;
  • Council programmes and services;
  • Membership policies;
  • Technology;
  • Payment arrangements;
  • Security requirements; or
  • Institutional governance.

Updated Terms will be published on the website with a revised effective date.

Your continued use of the website after revised Terms are published constitutes acceptance of those Terms, subject to any additional consent required by applicable law.

5. Website Information

We endeavour to ensure that information published on the website is accurate, relevant and current. However:

  • Information may be updated without notice;
  • Programme dates, venues, speakers, fees and formats may change;
  • Some initiatives may be under development;
  • Third-party information may become outdated;
  • Typographical or technical errors may occur; and
  • Content may be temporarily unavailable.

The Council does not warrant that every item of information will always be complete, accurate or current.

Where an official admission letter, contract, invoice, event confirmation, partnership agreement or other written document conflicts with general website information, the specific written document will prevail for the relevant transaction.

6. No Professional Advice

Website content is provided for general information, institutional communication and educational purposes.

Nothing on the website constitutes:

  • Legal advice;
  • Investment advice;
  • Financial advice;
  • Tax advice;
  • Accounting advice;
  • Regulatory advice;
  • Employment advice;
  • Professional certification;
  • A securities recommendation; or
  • A guarantee of a commercial or investment outcome.

Users should obtain independent professional advice before making legal, financial, investment, regulatory or business decisions.

The Council is not responsible for decisions made solely on the basis of general website content, event discussions, publications or member communications.

7. Membership Enquiries and Admission

Submitting a membership enquiry, expression of interest, nomination or application does not automatically confer membership.

Membership may be subject to:

  • Eligibility requirements;
  • Verification and due diligence;
  • Professional and institutional assessment;
  • Submission of supporting information;
  • Acceptance of the Council’s Code of Conduct;
  • Payment of applicable contributions;
  • Formal approval by an authorised Council body; and
  • Other membership requirements in force at the time.

The Council reserves the right to approve, decline, defer or request additional information concerning a membership enquiry or application, subject to applicable law and the Council’s governance procedures.

Membership becomes effective only when the applicant receives formal confirmation of admission and satisfies the applicable membership conditions.

8. No Guaranteed Membership Benefits or Outcomes

Membership, event participation, sponsorship or partnership does not guarantee:

  • Access to government officials;
  • Financing or investment;
  • Contracts or procurement opportunities;
  • Business referrals;
  • Commercial transactions;
  • Awards or recognition;
  • Speaking opportunities;
  • Media coverage;
  • Board appointments;
  • Employment;
  • Regulatory approval;
  • Admission to every programme;
  • Publication of submitted content; or
  • A particular financial or commercial result.

The Council provides platforms, information, relationships and opportunities. Each participant remains responsible for evaluating and pursuing those opportunities independently.

9. Member Accounts

Certain services may require an approved user account.

You are responsible for:

  • Providing accurate account information;
  • Keeping login credentials confidential;
  • Restricting access to your account;
  • Notifying us promptly of suspected unauthorised access;
  • Ensuring that your account is not used unlawfully; and
  • Updating your information when it changes.

You must not:

  • Share your password with an unauthorised person;
  • Allow another person to impersonate you;
  • Use another member’s account;
  • Create an account using false information;
  • Attempt to circumvent access restrictions; or
  • Access members-only services without authorisation.

The Council may suspend or restrict an account where it reasonably suspects unauthorised access, fraudulent activity, a security threat or violation of these Terms.

10. Private Membership Directory

The Council may maintain a private directory for approved members.

Access to the directory is a membership privilege and is subject to strict confidentiality and appropriate professional use.

Directory information must not be:

  • Published publicly without authorisation;
  • Copied to create an independent database;
  • Sold, licensed or transferred;
  • Shared with non-members;
  • Scraped or automatically harvested;
  • Used for unsolicited mass marketing;
  • Used for harassment or improper solicitation;
  • Used to impersonate a member;
  • Used for unauthorised political campaigning; or
  • Used for any unlawful or unethical purpose.

Members may use authorised directory information to facilitate appropriate professional communication, subject to applicable privacy, communications and marketing laws.

Access may be suspended or terminated where directory information is misused.

11. Events, Seminars and Programmes

Registration for a Council event or programme may be subject to:

  • Availability;
  • Eligibility or invitation requirements;
  • Payment of the applicable fee;
  • Participant-selection criteria;
  • Security and identification procedures;
  • Venue rules;
  • Programme-specific terms; and
  • Applicable codes of conduct.

The Council may change:

  • Event dates;
  • Venues;
  • Speakers;
  • Facilitators;
  • Session topics;
  • Programme schedules;
  • Participation formats; or
  • Delivery methods.

Where reasonably necessary, a physical event may be postponed, relocated, converted into a virtual or hybrid programme or cancelled.

Participants will be informed of material changes through available contact information.

12. Event Conduct

Participants are expected to behave professionally and respectfully.

Prohibited conduct includes:

  • Harassment, discrimination or intimidation;
  • Disruption of sessions;
  • Unauthorised commercial solicitation;
  • Misrepresentation of identity or affiliation;
  • Unauthorised recording;
  • Disclosure of confidential discussions;
  • Distribution of unlawful or offensive material;
  • Conduct that threatens safety or security; and
  • Behaviour that could materially harm the reputation of the Council or its participants.

The Council may refuse admission or remove a participant whose conduct violates these Terms, event rules or applicable law.

13. Confidential Meetings

Certain roundtables, briefings, meetings and discussions may be confidential or conducted under agreed non-attribution rules.

Participants must comply with any confidentiality framework communicated for the relevant programme.

Unless expressly authorised, participants must not:

  • Attribute confidential comments to another participant;
  • Disclose protected commercial information;
  • Record confidential sessions;
  • Publish private participant lists;
  • Circulate confidential documents;
  • Use confidential information for improper advantage; or
  • Represent a private discussion as an official Council position.

A participant’s attendance does not authorise that person to speak on behalf of the Council.

14. Registration Fees, Membership Contributions and Payments

Where fees or contributions apply:

  • The amount and currency will be communicated through an official invoice, registration page or written agreement;
  • Payment must be made through an authorised channel;
  • Users are responsible for providing accurate billing information;
  • Bank, exchange-rate and transfer charges may be borne by the payer unless otherwise stated;
  • Payment does not constitute admission where separate approval is required; and
  • A transaction is complete only when funds have been received and appropriately confirmed.

Users should verify payment instructions through official Council channels before transferring funds.

The Council will not be responsible for payments sent to unauthorised persons, fraudulent accounts or payment details not officially issued or confirmed by the Council.

15. Refunds, Cancellations and Substitutions

Refund, cancellation, credit and substitution arrangements may vary according to the relevant membership, publication, event or programme.

Applicable terms will be stated in:

  • The registration documentation;
  • An invoice;
  • A membership agreement;
  • A programme brochure;
  • A sponsorship or partnership agreement; or
  • Other official written communication.

Where no separate policy is provided, requests will be considered reasonably and in accordance with applicable law, costs already incurred and the circumstances of the cancellation.

Non-attendance does not automatically create a right to a refund.

Approved delegate substitutions may be permitted where requested within the stated period and where the replacement participant satisfies relevant eligibility requirements.

16. Sponsorships and Partnerships

Sponsorship, institutional partnership and programme collaboration require separate written approval.

No person may represent themselves or their organisation as a sponsor, partner, affiliate, chapter, representative or supporter of the African CEO Council without written authorisation.

Benefits, responsibilities, financial arrangements, brand usage and deliverables must be governed by an approved written agreement.

A financial contribution does not give a sponsor or partner control over:

  • Council governance;
  • Membership decisions;
  • Research conclusions;
  • Editorial decisions;
  • Speaker selection;
  • Awards;
  • Policy positions; or
  • Confidential member information.

17. Professional and Business Introductions

The Council may facilitate introductions among members, investors, companies, public institutions, professional advisers and strategic partners.

An introduction does not constitute:

  • Endorsement;
  • Certification;
  • Investment advice;
  • A guarantee of integrity or capability;
  • A guarantee of funding;
  • A partnership agreement;
  • An agency relationship; or
  • A recommendation to enter a transaction.

Each party must conduct its own:

  • Due diligence;
  • Legal review;
  • Financial assessment;
  • Regulatory checks;
  • Background verification;
  • Commercial negotiation; and
  • Risk evaluation.

The Council is not a party to a transaction solely because it facilitated an introduction.

18. Investment and Financing Opportunities

The Council may publish or discuss investment opportunities, companies, projects, markets or financing programmes for informational and engagement purposes.

Unless expressly stated in a legally compliant document, the Council does not:

  • Offer securities;
  • Arrange regulated investments;
  • Guarantee the viability of a project;
  • Guarantee repayment;
  • Guarantee investor returns;
  • Act as a licensed financial adviser;
  • Act as an investment manager; or
  • Assume fiduciary responsibility for an investment decision.

Potential investors and participating companies must obtain appropriate professional advice and conduct independent due diligence.

19. Intellectual Property

Unless otherwise stated, the website and its contents are owned by or licensed to the African CEO Council.

Protected materials may include:

  • The Council’s name and logo;
  • Programme names;
  • Text and written content;
  • Research and reports;
  • Publications;
  • Photographs and videos;
  • Graphics and designs;
  • Presentations;
  • Training materials;
  • Databases;
  • Downloadable documents;
  • Website layout;
  • Audio material; and
  • Digital resources.

These materials are protected by copyright, trademark and other applicable intellectual-property laws.

20. Permitted Use of Website Content

You may:

  • View website content for lawful personal or professional purposes;
  • Download materials expressly made available for download;
  • Print reasonable extracts for internal reference;
  • Share links to public pages; and
  • Quote brief extracts with proper attribution, subject to applicable law.

You must not, without written permission:

  • Reproduce substantial website content;
  • Republish publications or reports;
  • Remove copyright or attribution notices;
  • Modify Council materials and present them as official;
  • Sell or commercially exploit Council content;
  • Use Council content to train an unauthorised commercial data system;
  • Create misleading derivative materials;
  • Use automated tools to scrape the website;
  • Copy the membership directory;
  • Use the Council’s logo or trademarks;
  • Imply endorsement, affiliation or partnership; or
  • Create a confusingly similar website, programme or institutional identity.

Requests for permission should be submitted through the Council’s official contact channel.

21. Use of the Council’s Name and Logo

The African CEO Council’s name, logo, membership mark and programme identities may not be used without authorisation.

Approved members may describe themselves as members only while their membership remains active and in good standing.

Membership does not permit a member to:

  • Speak for the Council;
  • Bind the Council contractually;
  • Use the Council’s logo in advertising without approval;
  • Claim that the Council endorses a product or service;
  • Create an independent chapter or programme;
  • Collect money on behalf of the Council; or
  • Present personal views as official Council policy.

Any authorised use must comply with the Council’s brand and communications guidelines.

22. User Submissions

You may submit information such as:

  • Enquiries;
  • Applications;
  • Professional biographies;
  • Photographs;
  • Articles;
  • Reports;
  • Research responses;
  • Event materials;
  • Presentations;
  • Feedback; and
  • Partnership proposals.

You confirm that:

  • The submission is accurate to the best of your knowledge;
  • You have authority to provide it;
  • It does not violate another person’s rights;
  • It is not defamatory, fraudulent or unlawful;
  • It does not contain malicious software; and
  • Any necessary permissions have been obtained.

Submitting content does not guarantee its publication or acceptance.

Where you submit content for publication, you grant the Council a non-exclusive, worldwide, royalty-free licence to review, edit, reproduce, publish, distribute and display that content for the agreed institutional purpose, unless separate written terms provide otherwise.

You retain ownership of your original content.

23. Editorial Independence

Editorial participation in Council publications is subject to:

  • Relevance;
  • Accuracy;
  • Quality;
  • Editorial standards;
  • Available space;
  • Conflict-of-interest considerations; and
  • Independent editorial approval.

Membership, sponsorship or payment does not automatically guarantee:

  • Publication;
  • Positive coverage;
  • An interview;
  • A leadership profile;
  • A cover feature;
  • An award; or
  • Approval of submitted material.

Sponsored or paid content may be identified appropriately.

24. Photographs, Audio and Video

Public events and programmes may be photographed, recorded or livestreamed for:

  • Institutional reporting;
  • Media coverage;
  • Educational use;
  • Programme documentation;
  • Website communication;
  • Social media;
  • Publications; and
  • Promotional activities.

Where practical, participants will be informed that photography or recording is taking place.

Separate approval may be requested for individual interviews, testimonials or detailed promotional profiles.

Unauthorised recording of confidential or restricted sessions is prohibited.

25. Acceptable Use

You agree not to:

  • Violate any applicable law;
  • Use the website for fraud or deception;
  • Impersonate another person or organisation;
  • Upload malware or harmful code;
  • Attempt to gain unauthorised access;
  • Interfere with website operation or security;
  • Test vulnerabilities without authorisation;
  • Harvest personal information;
  • Send unsolicited bulk communications;
  • Misuse member information;
  • Publish unlawful, defamatory or discriminatory content;
  • Infringe intellectual-property rights;
  • Manipulate website forms or payment systems;
  • Use bots to create accounts or submit forms;
  • Circumvent access restrictions; or
  • Use the website in a manner that damages the Council or its stakeholders.

26. Third-Party Websites and Services

The website may contain links to:

  • Government registries;
  • Social-media platforms;
  • Payment providers;
  • Event-registration services;
  • Partner organisations;
  • News sources;
  • External publications; and
  • Other third-party websites.

Links are provided for convenience and do not necessarily constitute endorsement.

The Council does not control and is not responsible for the availability, content, security, accuracy or privacy practices of independent third-party services.

Your use of a third-party service is governed by that service’s terms and policies.

27. Privacy and Data Protection

Our collection and use of personal information are governed by the African CEO Council Privacy Policy and applicable law.

By submitting personal information, you confirm that it is accurate and that you are authorised to provide it.

Users must not misuse personal information obtained through membership, events, Council communications or the private directory.

28. Website Availability and Security

We seek to maintain a secure and functional website, but we do not guarantee that:

  • The website will always be available;
  • Access will be uninterrupted;
  • Every error will be corrected immediately;
  • The website will be free from all harmful components; or
  • Every device and browser will be fully compatible.

We may suspend or restrict access for:

  • Maintenance;
  • Security;
  • System upgrades;
  • Legal compliance;
  • Technical problems; or
  • Protection of members and users.

Users are responsible for maintaining appropriate device security, backups and antivirus protection.

29. Disclaimer of Warranties

To the fullest extent permitted by law, the website and its content are provided on an “as is” and “as available” basis.

The Council disclaims warranties concerning:

  • Continuous availability;
  • Error-free operation;
  • Completeness;
  • Fitness for a particular purpose;
  • Non-infringement;
  • Commercial outcomes;
  • Investment returns;
  • Business relationships;
  • Third-party conduct; and
  • Results from participation in programmes.

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

30. Limitation of Liability

To the fullest extent permitted by applicable law, the African CEO Council and its officers, directors, employees, advisers, contractors and authorised representatives will not be liable for indirect, incidental, consequential, special or punitive loss arising from:

  • Use or inability to use the website;
  • Reliance on general information;
  • Loss of data;
  • Loss of business opportunity;
  • Loss of profit or revenue;
  • Third-party transactions;
  • Unauthorised account access;
  • External websites;
  • Event changes;
  • Member or participant conduct; or
  • Business or investment decisions.

The Council does not seek to exclude liability that cannot lawfully be excluded, including liability arising from fraud, wilful misconduct or other legally non-excludable obligations.

31. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless the African CEO Council and its authorised representatives from claims, losses, liabilities, costs and expenses arising from:

  • Your unlawful use of the website;
  • Your breach of these Terms;
  • Your misuse of membership information;
  • Your infringement of third-party rights;
  • False or misleading information supplied by you;
  • Unauthorised use of the Council’s name or intellectual property; or
  • Your conduct in connection with a Council programme.

This provision does not apply where prohibited by law.

32. Suspension and Termination

The Council may suspend, restrict or terminate access where a user:

  • Violates these Terms;
  • Misuses the membership directory;
  • Provides materially false information;
  • Creates a security risk;
  • Engages in unlawful conduct;
  • Misuses the Council’s name or logo;
  • Fails to comply with membership or programme requirements; or
  • Acts in a manner materially harmful to the Council or its stakeholders.

Membership suspension or termination will also be governed by the Council’s constitution, membership policies, Code of Conduct and applicable due-process requirements.

33. Complaints and Concerns

Complaints concerning website use, membership services, payments, intellectual property or participant conduct should be submitted through the Council’s official contact channel.

A complaint should include:

  • The complainant’s name and contact details;
  • A clear description of the concern;
  • Relevant dates;
  • Supporting documentation; and
  • The resolution requested.

The Council will consider legitimate complaints fairly and within a reasonable period.

34. Governing Law

Subject to applicable mandatory laws, these Terms are governed by the laws of the State of New York, United States of America, without regard to conflict-of-law principles.

Where a specific membership, event, partnership, employment, service or programme agreement contains a separate governing-law provision, that provision will govern the relevant agreement.

35. Dispute Resolution

The parties should first attempt to resolve a dispute through good-faith discussion.

A written notice of dispute should identify:

  • The nature of the dispute;
  • Relevant facts;
  • Supporting documentation; and
  • The proposed resolution.

If the dispute cannot be resolved informally, it may be referred to mediation, arbitration or a court of competent jurisdiction, depending on applicable law and any separate written agreement.

Nothing prevents either party from seeking urgent protective or injunctive relief where necessary.

36. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be modified or limited to the minimum extent necessary.

The remaining provisions will continue in effect.

37. No Waiver

Failure by the Council to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.

A waiver is effective only when made in writing by an authorised Council representative.

38. Assignment

You may not transfer your rights or obligations under these Terms without written approval.

The Council may assign or transfer its rights and obligations as part of an authorised institutional restructuring, merger, succession or transfer of operations, subject to applicable law.

39. Entire Agreement

These Terms, together with the Privacy Policy and any applicable programme-specific or membership-specific terms, constitute the agreement governing use of the website.

Separate written contracts will continue to govern memberships, sponsorships, partnerships, publications, events or services to which they relate.
